1Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between your organization ("Client", "you") and Codesoftic Tech Private Limited ("Codesoftic", "we", "our"). By accessing our website, booking architectural consultations, approving a Statement of Work (SOW), or engaging our engineering teams, you accept and agree to be bound by these Terms.
2Structured Engagement Models
Codesoftic provides engineering, AI development, and digital acceleration services under three primary collaboration frameworks:

3100% Code Ownership & Intellectual Property
We do not charge recurring proprietary software license fees or hold repositories hostage. Open-source libraries and standard third-party tools incorporated into deliverables remain subject to their respective open-source licenses (e.g., MIT, Apache 2.0).
4Fees, Invoicing & Payment Terms
- Fixed-Scope Projects: Invoiced across defined milestone tranches (e.g., 50% mobilization deposit upon SOW signing, followed by milestone completion and final deployment sign-off).
- Dedicated Squads: Invoiced monthly in advance based on the agreed engineering capacity and squad composition.
- Taxes & Disbursements: All fees are exclusive of applicable local taxes unless explicitly stated. Third-party infrastructure costs (e.g., cloud hosting, LLM token APIs, domain registrations) are billed directly to the Client.
5Quality Assurance, Bug-Fix Warranty & SLAs
We take pride in building rock-solid, production-grade software:
- 30-Day Post-Launch Warranty: All custom fixed-scope deliverables include a complimentary 30-day warranty covering resolution of reproducible bugs or scope deviations at zero additional charge.
- Response Guarantee: Inquiries submitted to our technical leads receive an initial technical evaluation within 2 to 4 business hours.
6Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business data. In all events, Codesoftic's total aggregate liability arising under any Statement of Work shall not exceed the total fees actually paid by the Client to Codesoftic under that specific SOW in the three (3) months preceding the claim.
7Confidentiality & Bilateral NDAs
Both parties agree to treat all business plans, customer records, proprietary source code, and commercial negotiations disclosed during the engagement as strictly confidential. Confidential obligations remain in effect indefinitely for proprietary trade secrets and for a minimum period of three (3) years from disclosure for general confidential materials.
